 ANNOUNCEMENT
Avnet, Inc. to Acquire IT Solutions Division of Acal plc
The Board of Acal plc announces today that the Company has conditionally agreed to sell its
IT Solutions division (excluding Vertec) to Avnet Inc., a U.S. listed distribution company. In view of its size the disposal is conditional, amongst other things, upon the approval of shareholders. A circular containing a notice convening the EGM, at which the resolution will be proposed, will be sent to shareholders later this week.
The IT Solutions business being sold comprises Headway, Acal Storage Area Networks, Acal Networks, Acal Networks and Security and AVAS (Acal Value Added Services) and operates in Belgium, France, Germany, Netherlands, Scandinavia and the UK.
